Result of Retail Offer
IXICO plc has announced the successful closure of its Retail Offer, raising gross proceeds of £30,320 through the issuance of 379,000 shares at 8.0 pence each. This brings the total gross proceeds from the overall Fundraising to approximately £10.0 million. The Retail Offer is conditional on shareholder approval and other admissions, with the expected First Admission of 36,703,189 new Ordinary Shares on or around April 17, 2026, and a Second Admission of 88,675,809 new Ordinary Shares on or around April 20, 2026. Following these admissions, the total issued share capital will be 129,371,787 Ordinary Shares after First Admission and 218,047,596 Ordinary Shares after Second Admission, subject to satisfaction of admission conditions.

IXICO is pleased to announce that the Retail Offer launched on 31 March 2026 has now closed, raising gross proceeds of £30,320. Subject to the Retail Offer becoming unconditional, a total of 379,000 Retail Offer Shares will be issued at a price of 8.0 pence each (the "Issue Price").
Following the close of the Retail Offer, the Company has conditionally raised, in aggregate, gross proceeds of approximately £10.0 million at the Issue Price via the Fundraising.
As set out in the Circular published on 31 March 2026, the Retail Offer is conditional, inter alia, on the passing of Resolutions 1 and 3 by Shareholders at the General Meeting, completion of the First Placing and First Admission. The Placings and the Subscription are not conditional upon the Retail Offer. Admission of the Retail Offer Shares pursuant to the Retail Offer is expected to take place as part of First Admission on or around 17 April 2026, subject to shareholder approval.
Subject to the First Admission Conditions, the Company will issue and allot a total of 36,703,189 new Ordinary Shares with regards to the First Admission, in respect of the First Placing, Subscription and Retail Offer. The First Admission is expected to occur at 8.00 a.m. on or around 17 April 2026. Subject to the satisfaction of the Second Admission Conditions, the Company will issue and allot a total of 88,675,809 new Ordinary Shares with regards to Second Admission, in respect of the Second Placing. The Second Admission is expected to occur at 8.00 a.m. on or around 20 April 2026, but in any event no later than a longstop date of 19 May 2026. If the Second Admission Conditions are not satisfied by 19 May 2026, the Second Placing will not complete and the funds relating to it will not be received.
The issued share capital of the Company following the First Admission (including the new Ordinary Shares) will be a total of 129,371,787 Ordinary Shares. Subject to the satisfaction of the Second Admission Conditions, the issued share capital of the Company following the Second Admission (including the new Ordinary Shares) will be a total of 218,047,596 Ordinary Shares.
A separate announcement will be made following the General Meeting of the results of the General Meeting and the total voting rights following First Admission and Second Admission.
