Invinity Energy Systems plc (AIM: IES), a global leader in vanadium flow battery (“VFB”) technology, is pleased to announce its intention to undertake a subscription (the “Subscription”) and an institutional placing (the “Placing”) to raise, in aggregate, minimum gross proceeds of approximately £20.0 million.
Alongside the Subscription and Placing, the Company also intends to launch a separate retail offer (the "Retail Offer") (together with the Subscription and Placing, the “Proposed Fundraise”). The Proposed Fundraise will all be conducted at an issue price of 10 pence per new ordinary share.
The Company has received strong indications of interest from existing shareholders and potential new investors to support the Subscription and Placing.
Completion of the Proposed Fundraise will be subject to, among other things, shareholder approval at a General Meeting of the Company. Notice of the General Meeting will be included in a shareholder circular, which will be posted to shareholders after the Proposed Fundraise has been finalised.
Capital Access Window
The Company has decided to utilise a Capital Access Window for the Proposed Fundraise. The Capital Access Window is a voluntary pause in trading of a company's shares permitted under the AIM Rules for Companies, designed to make it easier for companies to reach a broader range of investors during a fundraise.
Accordingly, the Company's ordinary shares will enter a Capital Access Window as at 7.30 a.m. today and trading in the ordinary shares will be temporarily suspended. The Company expects to announce the details of the Proposed Fundraise, including the terms and conditions, in due course. The Capital Access Window will remain open until the conclusion of the Proposed Fundraise, after which trading in the ordinary shares is expected to be restored.
The Placing is being arranged by Canaccord Genuity Limited, Panmure Liberum Limited and VSA Capital Limited (the “Joint Bookrunners”).
