Huddled Group plc (AIM:HUD), the circular economy e-commerce group announces that, further to the announcement on 2 July 2026, a notice of general meeting (the "GM") will be posted to shareholders today and will be available shortly on the Company's website: https://huddled.com/publications-and-reports/

The GM will be held at Token House, 11-12 Tokenhouse Yard, London, EC2R 7AS on 22 July 2026 at 2 p.m.

Background to and reason for the GM

On 30 June 2026, the Company announced (RNS No. 2597K) that it had raised gross funds of approximately £345,000 via the Initial Subscription and that it proposed to raise a further £899,000 by way of a conditional subscription, together with up to £100,000 by way of the Retail Offer, to be conducted through RetailBook (RNS No. 2617K). On 2 July 2026, the Company announced (RNS No. 6997K) that the Retail Offer had closed almost three times oversubscribed and had accordingly been increased to £200,000, and that the conditional subscription had been increased to approximately £964,000. In aggregate, therefore, the Fundraising, together with the Initial Subscription, will raise gross proceeds of approximately £1.51 million (before expenses).

The Issued Subscription Shares were issued and allotted on 30 June 2026 and were admitted to trading on AIM on 1 July 2026. Their issue and allotment exhausted all of the Company's existing share authorities and, as a consequence, the Company has insufficient authorities to issue the Subscription Shares and the Retail Offer Shares. The Company is therefore convening a General Meeting to request Shareholders to grant the authorities required to enable the New Ordinary Shares to be issued, and to refresh the authorities granted at the June 2026 AGM that were utilised to satisfy the issue and allotment of the Issued Subscription Shares.
