Result of oversubscribed WRAP Retail Offer
First Class Metals PLC has successfully raised £400,000 through its oversubscribed WRAP Retail Offer at an issue price of 1.52 pence per share, issuing 26,315,789 new Ordinary Shares. The company has increased the offer size to accommodate excess demand, and applications have been made for these shares to be admitted to trading on the London Stock Exchange's main market, expected around March 31, 2026. Upon admission, the total number of Ordinary Shares and voting rights in the Company will be 367,949,472.

First Class Metals PLC (FCM) the UK listed company focused on the discovery of economic metal deposits across its exploration properties in Ontario, Canada, is pleased to confirm, further to the announcements made on 23 March 2026, the result of its fundraise at the Issue Price of 1.52 pence per share. The WRAP retail offer was multiple times oversubscribed, demonstrating strong support from the Company's retail shareholder base. As a result, in accordance with the terms of the WRAP Retail Offer, the Company has decided to increase the size of the offer to partially accommodate some of this excess demand. As such, the company has successfully raised £400,000 pursuant to the WRAP retail offer and will issue a total of 26,315,789 new Ordinary Shares at the Issue Price.
Admission and Total Voting Rights
Applications have been made for the WRAP Retail Offer Shares to be admitted to trading on the main market for listed securities of the London Stock Exchange ("Admission"). Admission is expected to become effective on or around 31 March 2026.
Upon Admission, the Company's issued ordinary share capital will consist of Ordinary Shares with one voting right each. The Company does not hold any Ordinary Shares in treasury. Therefore, from Admission the total number of Ordinary Shares and voting rights in the Company will be 367,949,472. With effect from Admission, this figure may be used by Shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
