Issuance of warrants
Faron Pharmaceuticals Ltd. has issued 153,917 additional warrants to IPF Fund II SCA, SICAV-FIAR, resetting the subscription price for all of IPF's warrants to EUR 0.4316. This issuance follows the amortization of convertible bonds to Heights Capital Management, Inc. As a result, IPF now holds an interest in 3,795,384 warrants, representing approximately 1.67% of the company's issued share capital, with each warrant allowing subscription for one new share exercisable for seven years.

TURKU, FINLAND – Faron Pharmaceuticals Ltd. (AIM: FARN, First North: FARON), a clinical-stage biopharmaceutical company, announces that it has issued to IPF Fund II SCA, SICAV-FIAR (“IPF”) 153,917 additional warrants over ordinary shares in the Company (“Warrants”), following the the amortisation of the first and second tranche convertible bonds to Heights Capital Management, Inc. at EUR 0.4316 announced on 3 August 2026.
The subscription price of all of the Warrants held by IPF is reset to EUR 0.4316 (“Subscription Price”). As described in the Warrant Terms and Conditions announcement of 8 April 2024, in the event of any future share issue at a price lower than the Subscription Price, the Subscription Price of the Warrants will be adjusted to that lower subsequent price.
Following this issues, IPF will have an interest in 3,795,384 Warrants, representing approximately 1.67% of the issued share capital in the Company. Each Warrant entitles its holder to subscribe for one new share in the Company. The Warrants may be exercised for a period of seven years from the original date of issue.
