RESULTS OF PLACING OF ORDINARY SHARES IN W.A.G PAYMENT SOLUTIONS PLC

("EUROWAG" OR THE "COMPANY")

Bock Capital EU Luxembourg WAG S.à r.l., an affiliate of TA Associates Management, L.P. (the "Selling Shareholder"), announces that, further to the announcement released yesterday, it has sold a total of 30,000,000 ordinary shares of £0.01 each in the Company (the "Placing Shares") at a price of £1 per Placing Share (the "Placing"). The Placing Shares in aggregate represent approximately 4.3 per cent. of the Company's issued share capital.

On completion of the Placing, the Selling Shareholder will hold 88,505,764 ordinary shares in the Company, representing approximately 12.7 per cent. of the Company's issued share capital and which will be subject to a 90-day lock up undertaking (itself subject to certain customary exceptions and/or waiver by the Sole Global Co-Ordinator (as defined below)).

The proceeds of the Placing are payable in cash on usual settlement terms, and closing of the Placing is expected to occur on a T+2 basis on 21 July 2026.

Peel Hunt LLP acted as Sole Global Co-Ordinator and Joint Bookrunner. WOOD & Company Financial Services, a.s. acted as Joint Bookrunner (together with Peel Hunt, the "Bookrunners") in respect of the Placing.

The Company is not party to the Placing and will not receive any proceeds from the Placing.
