Issue of Fee Shares
EnergyPathways plc has issued 1,372,024 new ordinary shares, valued at approximately £90,626.24, to settle consultancy and advisory fees for Q1 2026, with these "Fee Shares" priced based on the 5-day VWAP. These shares will be admitted to AIM trading around May 13, 2026, and will rank pari passu with existing shares. Following admission, the Company's total issued share capital will be 233,469,927 ordinary shares, which will serve as the denominator for shareholder notification calculations under FCA rules.

EnergyPathways plc (AIM: EPP), an integrated energy transition company, announces the issue of 1,372,024 new ordinary shares of 1 pence each at ("Fee Shares") in settlement of consultancy and advisory fees for members of the MESH project management team for Q1 2026.
Pursuant to the terms of the agreements with certain of the Company's directors and consultants, monthly fees are settled through a combination of cash payments and the periodic issue of new shares. Accordingly, the Company has issued 1,372,024 Fee Shares, representing a total of £90,626.24 in fees payable by the Company at a price of approximately 6.61 per Fee Share. The pricing for these shares is based on the 5-day VWAP for the last five days of trading, calculated on a monthly basis or current basis as required under the contracts.
Admission and Total Voting Rights
Application will be made for the Fee Shares to be admitted to trading on AIM, which is expected to occur on or around 13 May 2026 ("Admission"). The Fee Shares will rank pari passu in all respects with the Company's existing ordinary shares currently traded on AIM.
Following Admission, the Company's issued share capital will comprise 233,469,927 ordinary shares of 1 pence each. This number will represent the total voting rights in the Company and may be used by shareholders as the denominator for the calculation by which they can determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
