Dekel Agri-Vision Plc (AIM: DKL), the West African agriculture company focused on building a portfolio of sustainable and diversified projects, is pleased to announce a retail offer to existing shareholders via the BookBuild platform (the “Retail Offer”) to raise up to £300,000 through the issue of up to 115,384,615 new Ordinary Shares of €0.0003367 each (the “Retail Offer Shares”) at an issue price of 0.26 pence per share (the “Issue Price”).
As announced earlier today, the Company has also conditionally raised £695,000 (before expenses) through a Placing and Subscription at the Issue Price, including a significant participation by Aristide Achybrou, Non-Executive Director and the Company’s largest shareholder. The Retail Offer is not part of the Placing and Subscription, and the Placing and Subscription are not conditional on the Retail Offer. The Issue Price represents a discount of approximately 25.7% to the closing mid-market price of 0.35 pence on 21 October 2026, being the last practicable date prior to the Company entering the Capital Access Window.
The net proceeds of the Retail Offer will be used in the same manner as the proceeds of the Placing and Subscription, being primarily to acquire and install additional processing equipment to increase the Cashew Operation’s RCN processing capability from approximately 30 tonnes per day to approximately 45 tonnes per day (specifically the unpeeled cashew product), and for working capital.
The Retail Offer is conditional on the passing of the Resolutions at the General Meeting to be held on 27 November 2026 and on Admission of the Retail Offer Shares.

Background to the Retail Offer
The Company values its retail shareholder base, which has supported the Company alongside institutional investors since its IPO in March 2013. Given this continued support, the Company believes it is appropriate to provide its existing retail shareholders in the United Kingdom with the opportunity to participate in the Fundraising at the same Issue Price as the Placing and Subscription. The Company is therefore making the Retail Offer available in the United Kingdom through the financial intermediaries which will be listed, subject to certain access restrictions, on the following website: https://www.bookbuild.live/deals/Z1Z207/authorised-intermediaries
Retail Offer Details
Zeus Capital Limited will be acting as retail offer coordinator in relation to the Retail Offer (the “Retail Offer Coordinator”).
The Retail Offer is open to eligible existing shareholders in the United Kingdom through certain financial intermediaries that are onboarded to the BookBuild platform and have agreed to the final terms and the retail offer terms and conditions (the “Intermediaries”). The retail offer terms and conditions regulate, inter alia, the conduct of the Retail Offer on market standard terms and provide for the payment of commission and/or fees (to the extent permitted by the FCA Handbook Rules) by the Retail Offer Coordinator (on behalf of the Company) to any Intermediary that elects to receive them. A list of participating Intermediaries will be available, subject to certain access restrictions, at: https://www.bookbuild.live/deals/Z1Z207/authorised-intermediaries. Existing retail shareholders can contact their broker or wealth manager to participate.
The Retail Offer will open to eligible investors in the United Kingdom at 1:30 p.m. on 30 October 2026 and is expected to close at 4.30 p.m. on 3 November 2026. Intermediaries may set earlier closing times. The Retail Offer may close early if it is oversubscribed.
The Retail Offer is and will, at all times, only be made to, directed at and may only be acted upon by shareholders in the Company. To be eligible to participate, applicants must meet the following criteria before they can submit an order for Retail Offer Shares: (i) be a customer of one of the participating Intermediaries; (ii) be resident in the United Kingdom; and (iii) be an existing shareholder in the Company. Shareholders may include individuals aged 18 years or over, companies and other bodies corporate, partnerships, trusts, associations and other unincorporated organisations. They include persons who hold their shares in the Company directly or indirectly through a participating Intermediary. Persons who only hold contracts for difference, spread bets or similar derivative instruments in relation to the Ordinary Shares are not eligible to participate.
The minimum subscription per investor is £100. There is no maximum application amount, but the aggregate consideration for the Retail Offer Shares will not exceed £300,000. The terms and conditions on which investors subscribe, including any commission or fee charges, will be provided by the relevant Intermediary. The Company reserves the right to scale back any order or to reject any application at its discretion, without giving reasons. Once an application for Retail Offer Shares has been made and accepted via an Intermediary, it cannot be withdrawn.
The Retail Offer Shares will, when issued, be credited as fully paid. They will rank pari passu in all respects with the existing Ordinary Shares, including the right to receive all dividends and other distributions declared, made or paid after their date of issue.
No offering document, prospectus or admission document has been or will be prepared, or submitted for approval by the Financial Conduct Authority (or any other authority), in relation to the Retail Offer. Investors’ commitments will be made solely on the basis of the information in this announcement, the Fundraising Announcement, and other information published by or on behalf of the Company before the date of this announcement. That other information means notifications to a Regulatory Information Service under the Financial Conduct Authority’s Disclosure Guidance and Transparency Rules and the Market Abuse Regulation (EU Regulation No. 596/2014) (“MAR”), as it forms part of United Kingdom law by virtue of the European Union (Withdrawal) Act 2018 (as amended).
Any expenses incurred by an Intermediary are for its own account. Investors should confirm separately with their Intermediary whether any commission, fees or expenses will be applied to an application made through that Intermediary.
Intermediaries with questions about participating in the Retail Offer on behalf of existing retail shareholders should contact BookBuild at support@bookbuild.live.
