Retail Offer to existing shareholders
The Board of Dekel Agri-Vision plc is pleased to announce a retail offer via BookBuild (the "Retail Offer") to raise up to £0.3 million through the issue of new ordinary shares of €0.0003367 ("Ordinary Shares") each in the capital of the Company ("Ordinary Shares") (the "Retail Offer Shares") at an issue price of 0.55 pence per New Share (the "Issue Price").

A separate announcement has been made regarding the Placing and Subscription and their terms. The Issue Price represents a discount of approximately 37.5 per cent to the closing share price of 0.88 pence per existing Ordinary Share on 25 June 2025, being the last practicable date prior to announcement of the Fundraising. All of the New Shares will be sold at the Issue Price.
The proceeds of the Retail Offer will be utilised in the same way as the proceeds of the Placing and Subscription as announced at 4:41pm on 25 June 2025.
The Retail Offer is conditional on, amongst other things, the passing of the Resolution and Admission. Subject to these conditions being satisfied, Admission of the Retail Offer Shares is expected to take place at 8:00 a.m. on 23 July 2025. Completion of the Retail Offer is conditional, inter alia, upon the Resolutions being duly passed by Shareholders at the General Meeting to be held at 10.00 a.m. on 22 July 2025 at the offices of Hill Dickinson LLP at The Broadgate Tower, 20 Primrose Street, London, EC2A 2EW.
