Cora Gold Limited, the West African focused gold company, is pleased to announce a retail offer to its existing shareholders via the BookBuild platform to raise up to approximately £2 million (the "Retail Offer") through the issue of up to 33,333,333 new ordinary shares of no par value in the Company ("Retail Offer Shares") at a price of 6 pence per ordinary Share (the "Issue Price").

As announced on 9 February 2026, in addition to the Retail Offer, the Company has conditionally raised a minimum of GBP£12,854,074.26 and up to GBP£13,707,141.36 before expenses through a subscription by a strategic investor (the "Subscription") for up to 228,452,356 new ordinary shares of no par value in the Company ("Subscription Shares") at the Issue Price.

The Subscription and Retail Offering (together the "Fundraise") are conditional on (amongst other matters): (i) the provision of a title opinion on the Company's assets in Mali satisfactory to the subscriber to the Subscription; (ii) the passing of the necessary resolutions at a general meeting of the shareholders of the Company (the 'Extraordinary General Meeting'); and (iii) admission of the Retail Offer Shares and Subscription Shares to trading on AIM taking place no later than 8 April 2026. The date of admission may be accelerated subject to all conditions being satisfied. Should this occur, the Company will notify the new date of admission.

A Notice of Extraordinary General Meeting of the Company is to be posted to shareholders shortly. The Extraordinary General Meeting will be held at 12 p.m. on 24 March 2026 at the offices of Hannam & Partners, 3rd Floor, 7-10 Chandos Street, London, W1G 9DQ, United Kingdom and online. A copy of the Notice of Extraordinary General Meeting will be made available on the Company's website.

The Issue Price of 6 pence represents a discount of approximately 44 per cent. to the closing mid-market price of 10.75 pence on 6 February 2026, being the latest practicable date prior to publication of the announcement of the Fundraise.

The net proceeds of the Fundraise will principally be used to advance Cora's flagship Sanankoro Gold Project in southern Mali towards production, as well as continued exploration of the Company's permits and for general working capital purposes.

Retail Offer

The Company values its retail shareholder base, which has supported the Company alongside key significant investors since IPO. Given the support of retail shareholders, the Company believes that it is appropriate to provide its retail shareholders in the United Kingdom the opportunity to participate in the Retail Offer. The Company is therefore making the Retail Offer available in the United Kingdom through the financial intermediaries which will be listed, subject to certain access restrictions, on the following website: https://www.bookbuild.live/deals/D70XY1/authorised-intermediaries

Any expenses incurred by any intermediary are for its own account. Retail shareholders should confirm separately with any intermediary whether there are any commissions, fees or expenses that will be applied by such intermediary in connection with any application made through that intermediary pursuant to the Retail Offer.

The Retail Offer will be open to eligible investors in the United Kingdom at 5:00 p.m. on 10 February 2026. The Retail Offer is expected to close at 4:30 p.m. on 16 February 2026. Investors should note that financial intermediaries may have earlier closing times. The Retail Offer may close early if it is oversubscribed.

The Retail Offer Shares and Subscription Shares will, when issued, be credited as fully paid and will rank pari passu in all respects with existing Ordinary Shares including the right to receive all dividends and other distributions declared, made or paid after their date of issue.
