Admission to Trading
Critical Mineral Resources plc has applied for the admission of 154,460,412 new ordinary shares to the Official List and London Stock Exchange's Main Market, expected on October 8, 2026. This includes 75,466,002 shares issued to Nebari Natural Resources AIV II, LP at 2p per share, raising US$2 million for working capital and Moroccan operations, and 78,994,410 shares issued to Gilini Holdings Ltd and Emerging Harry General Trading LLC at 1.1p and 1.45p respectively, totaling £975,000, to settle convertible loans used for Agadir Melloul project costs and drilling. Following admission, the company will have 496,037,691 ordinary shares in issue, each with one voting right.

Further to last week's announcement of the strategic investment by Nebari Natural Resources AIV II, LP ("Nebari"), Critical Mineral Resources plc (LSE: CMRS) announces that it has applied for 154,460,412 new ordinary shares of £0.01 each ("Ordinary Shares") to be admitted to the Official List of the FCA and to trading on the Main Market of London Stock Exchange.
The 75,466,002 new Ordinary shares issued to Nebari at 2p per share raised US$2m for ongoing working capital and investment purposes in Morocco;
The new Ordinary Shares issued to Gilini Holdings Ltd (43,872,531 ) and Emerging Harry General Trading LLC (35,121,879) at 1.1p and 1.45p respectively totalling 78,994,410 are as a result of convertible loans issued during March 2025 to fund the initial Agadir Melloul set-up costs, the acquisition of permits in the Agadir Melloul region and to fund the first 6 months of the ongoing drilling programme which started in September 2025.
Admission is expected at 8.00 a.m. on 8 October 2026. The new Ordinary Shares rank equally with the Company's existing Ordinary Shares.
Total Voting Rights
Following Admission, the Company will have 496,037,691 Ordinary Shares in issue, all admitted to trading, each carrying one vote. No shares are held in treasury. This figure may be used by shareholders as the denominator for the calculations by which they will determine whether they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
