Chill Brands, the consumer packaged-goods distribution company, provides an update on the expected timing of completion of the Company's audited accounts for the year to 31 March 2024 (the "FY24 Accounts") and its unaudited interim accounts for the six-month period ended 30 September 2024 (the "H1 FY25 Interim Accounts"). The Company also provides an update on the development of its retail distribution business.

Update on the publication of financial results

Further to the Company's announcements on 24 April 2025 and 23 May 2025, the Company has continued to progress towards the completion of its audit and the publication of the FY24 Accounts, along with the H1 FY25 Interim Accounts (together, the "Financial Results"). Based on discussions with its statutory auditors this week regarding the timing of their secondary reviews, the Company now expects to receive sign-off on its FY24 Accounts in June.

Preparation of the Company's H1 FY25 Interim Accounts is at an advanced stage, and the Company expects to publish these interim accounts shortly following the publication of the FY24 Accounts. The Company will then lodge a request with the Financial Conduct Authority (FCA) seeking the lifting of the suspension of trading in its shares.

Update on retail distribution activities

Chill Brands has established a wholly owned UK subsidiary, Chill Connect Limited, to house its growing distribution business. This initiative leverages the Company's established network of retail partners at all stages of the value chain, as well as the expertise of its field sales representatives in delivering in-store execution and driving sell-through with a wide range of activation strategies. It is the Company's intention to develop this subsidiary into a specialist distribution partner for a diverse selection of emerging and established products within the health, wellness and fast-moving consumer goods categories.

Since its launch during Q4 of 2024, the Company's distribution business has secured contracts to provide retained services to numerous brands including one of the UK's leading vape e-liquid businesses, a rapidly expanding oral nicotine pouch challenger brand, and a European market entrant with a range spanning oral nicotine pouches, functional beverages and vape products.

The Company is currently in active discussions regarding additional potential contracts with a number of well-regarded brands operating in the vape and tobacco alternatives category. These discussions centre around providing comprehensive route-to-market planning and retail sales services.

Distribution of vape products

In its vape products business segment, the Company has refined its product offering, phasing out disposable vape products and transitioning towards a portfolio of rechargeable, pod-based devices from multiple leading brands. This shift ensures that the Company will continue to serve its retail network with products that will remain compliant with UK regulations following the introduction of the ban on disposable vapes, which comes into effect on 1 June 2025.
