Transaction in Own Shares and Total Voting Rights
The Character Group plc announced on 3 November 2025 that it purchased 5,900 of its ordinary shares at a volume-weighted average price of 277 pence per share as part of its ongoing share buyback programme. These repurchased shares have been cancelled, reducing the total number of shares in issue and consequently increasing earnings per share for existing shareholders. Following this transaction, the company now holds 1,983,059 shares in treasury, with 17,797,999 shares remaining in issue, which also represents the total voting rights.

Character announces that, in accordance with the terms of its share buyback programme announced on 29 October 2024 and extended and increased as announced on 30 May 2025 (the "Programme"), the Company purchased a number of its issued ordinary shares of £0.05 each ("Ordinary Shares") from Panmure Liberum Limited ("Panmure Liberum") in accordance with the following particulars:

The repurchased shares have been cancelled. Following the purchase of these shares, the Company holds 1,983,059 shares in treasury and has 17,797,999 shares in issue (excluding treasury shares). Therefore, the total voting rights in the Company will be 17,797,999. The figure of 17,797,999 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
