Transaction in Own Shares and Total Voting Rights
The Character Group plc announced the purchase of 7,000 of its own ordinary shares at a volume weighted average price of 272 pence per share on October 16, 2025. The shares were purchased from Panmure Liberum as part of the company's share buyback program. Following the purchase, the repurchased shares were cancelled, and the company now holds 1,983,059 shares in treasury, with 17,849,599 shares in issue excluding treasury shares. Character announces that, in accordance with the terms of its share buyback programme announced on 29 October 2024 and extended and increased as announced on 30 May 2025 (the "Programme"), the Company purchased a number of its issued ordinary shares of £0.05 each ("Ordinary Shares") from Panmure Liberum Limited ("Panmure Liberum") in accordance with the following particulars:

The repurchased shares have been cancelled. Following the purchase of these shares, the Company holds 1,983,059 shares in treasury and has 17,849,599 shares in issue (excluding treasury shares). The figure of 17,849,599 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
