Share Capital Increase

In brief · summary, not quotable

Aterian Plc announced on 6 November 2025 the issue of 226,500 new Ordinary Shares, each with a par value of 10p. These shares are being issued to compensate advisors and suppliers in lieu of cash, also serving as long-term performance incentivisation. Following this issuance, which is expected to be admitted to the Official List and trading on the London Stock Exchange around 12 November, the company's enlarged issued share capital will total 15,028,544 Ordinary Shares. This increase in share capital, while preserving cash, results in a slight dilution for existing shareholders and impacts the total voting rights denominator for regulatory disclosures.
