Issue of New Ordinary Shares & Total Voting Rights
Atlas Metals Group PLC is issuing 2,640,000 new ordinary shares at an average price of 7.04 pence per share through its at-the-market facility with Axis Capital Markets Limited. These shares will be admitted to trading on the London Stock Exchange around July 21, 2026, and will rank pari passu with existing shares. The proceeds from this issuance will be used to repay an existing funding facility with YA II PN Ltd. Following admission, the company's total issued ordinary share capital will be 46,529,001 shares, with a total of 46,529,001 voting rights.

Atlas Metals (LSE: AMG), the natural resources and energy company, announces that it will issue further ordinary shares of nominal value £0.01 each ("Ordinary Shares") pursuant to the Company's "at-the-market" facility with Axis Capital Markets Limited ("Axis"; the "At-the-Market Facility").
At-the-Market Facility issue
2,640,000 new Ordinary Shares ("ATM Shares") will be issued at an average price of 7.04 pence per ATM Share, in connection with the At-the-Market Facility. As announced by the Company on 5 March 2026 all proceeds from the At-the-Market Facility will go towards repayment of the funding facility currently in place with YA II PN Ltd, an institutional investor managed by Yorkville Advisors Global, LP.
Admission and total voting rights
Application has been made to London Stock Exchange plc ("London Stock Exchange") for the admission of 2,640,000 ATM Shares to be admitted to trading on the main market for listed securities of London Stock Exchange ("Admission"). Admission is expected to occur on or around 21 July 2026. When issued, the ATM Shares will be fully paid and will rank pari passu in all respects with each other and with the existing Ordinary Shares of the Company.
Following Admission, the Company's issued ordinary share capital will comprise 46,529,001 Ordinary Shares, each carrying one vote. The Company does not hold any Ordinary Shares in treasury. The total number of voting rights in the Company following Admission will therefore be 46,529,001. With effect from Admission, this figure may be used by shareholders as the denominator for the calculations by which they determine whether they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
