Active Energy Group plc (AIM: AEG, OTCQB: AEUSF), which is developing power-backed critical infrastructure across the United Arab Emirates ("UAE"), is pleased to announce that it has entered into an AED 6.5 million (c.£1.3 million) funding facility (the "Facility") with a private investment fund (the "Lender").

The Facility carries fixed interest at 5% per annum and will provide AEG with additional capital to advance and potentially secure further UAE infrastructure sites currently under evaluation, alongside the continued development of the Company's existing project pipeline.

Accelerating UAE Expansion

AEG is currently evaluating several additional sites across the UAE.

The Company's priority is larger opportunities capable of materially increasing available power capacity and supporting institutional-scale deployments. This reflects discussions with international counterparties, including Bitdeer, which has previously indicated a preference for opportunities of approximately 20 MW and above.

However, scale will not be the only consideration.

AEG will also evaluate strategically attractive sites of any size where power is available or there is a credible pathway to near-term energisation. Where commercially attractive, these opportunities can provide valuable bolt-on capacity, accelerate operational deployment and contribute to the Company's wider UAE infrastructure platform.

The Facility is intended to provide AEG with capital to act on qualifying opportunities, including potential site deposits, acquisition payments, technical and development expenditure and infrastructure required to progress sites towards energisation.

The Company's strategy is therefore to combine larger strategic developments with selective, rapidly deployable opportunities to increase aggregate capacity and accelerate the pathway to revenue.

Building Scale

During 2026, AEG has established its operating capability in the UAE, generated revenue from its initial infrastructure and developed relationships with major international digital infrastructure counterparties.

The Company's focus is now on scaling that platform.

AEG has previously announced that it is evaluating larger infrastructure opportunities, including a potential c.60 MW UAE site. There can be no certainty that any additional site will be acquired or developed, or that any binding agreement will be concluded with Bitdeer or any other counterparty. The letter of intent with Bitdeer announced on 24 April 2026 is non-binding. AEG continues to progress these opportunities, with any site acquisition or commercial agreement, including with Bitdeer, subject to final terms and definitive documentation. Further updates will be provided as appropriate.

The Board believes the Facility will enable AEG to pursue these opportunities while maintaining a disciplined approach to capital deployment.

AEG's objective is to aggregate complementary power-backed assets into a scalable UAE infrastructure platform capable of supporting bitcoin mining, artificial intelligence ("AI"), high-performance computing ("HPC") and other digital infrastructure applications.

Facility Terms

The Facility has a term of 12 months and is repayable in 10 monthly instalments with the first repayment being 2 months after drawdown. The Facility is unsecured. An arrangement fee of 5% is payable to the Lender.

In connection with, and at the same time as, the drawdown of the Facility, the Company shall issue to the Lender warrants to subscribe for new ordinary shares of 0.035 pence each in the Company ("Ordinary Shares") (the "Warrants"). The Warrants will be issued in two tranches, each under a separate warrant agreement: (i) 433,333,333 Warrants exercisable at 0.15 pence per Ordinary Share, covering 50% of the principal amount; and (ii) 325,000,000 Warrants exercisable at 0.20 pence per Ordinary Share, covering the remaining 50%.

The Warrants are exercisable for a period of three years from the date of issue, on a cash basis. In aggregate, the Warrants are exercisable over 758,333,333 Ordinary Shares, representing approximately 11.1% of the Company's existing issued share capital. The exercise prices represent a premium of approximately 88% at an exercise price of 0.15 pence per Ordinary Share and 150% at an exercise price of 0.20 pence per Ordinary Share to the closing mid-market price of 0.08pence per Ordinary Share on 29 September 2026, the last practicable date before this announcement. The Warrants will not be admitted to trading on AIM or any other market. Application will be made for any Ordinary Shares issued on exercise of the Warrants to be admitted to trading on AIM. The Warrants are being issued under the Company's existing shareholder authorities.

The Board believes the Facility provides AEG with greater financial flexibility to move quickly on suitable opportunities as it seeks to increase its aggregate power capacity and build the scale required by major international commercial counterparties.
